Please read these Terms of Service carefully. By accessing the Core Lite app (the “App”) by AEGIS 24/7 and any related services, you agree to be bound by the Terms of Service (the “Terms”) described herein and all terms, policies, guidelines and disclosures incorporated by reference. If you are obtaining a license on behalf of an organization, you confirm that you have the authority to bind the organization and that the organization will be bound by these Terms, and the term “you” shall then refer to you and your organization. If you do not agree to all of these Terms, do not use this App or services and immediately uninstall the application.
These Terms apply exclusively to your access to, and use of, the App and the information and other services provided therein, and to your use of the App accessed through your mobile device. Core Lite is owned and operated by AEGIS 24-7 Inc., trading as AEGIS 24/7, located at 254 Chapman Rd, Ste 208 #9494, Newark, DE 19702, United States of America.
These Terms do not alter in any way the terms or conditions of any other agreement you may have with AEGIS 24/7, or its subsidiaries or affiliates, for products, services or otherwise.
AEGIS 24/7 reserves the right to change or modify any of the Terms contained in this agreement, or any policy or guideline, at any time and in its sole discretion. Any changes or modification will be effective immediately upon posting to the App or website. Your continued use of the App and Services following the posting of its changes or modifications, will constitute your acceptance of such changes or modifications. Therefore, you should frequently review these Terms and applicable policies from time-to-time to understand the terms that apply to your use of the App and Services. If you do not agree to the amended terms, you must stop using the App and the Services.
1. Terms of Service
1.1 These Terms will govern the relationship between you (‘you’ or ‘your’) and AEGIS 24/7 (herein referred to as “AEGIS 24/7,” ‘we’, ‘us’, ‘our’ or ‘Licensor’) regarding your subscription, installation and use of the App and Services.
1.2 These Terms include by reference to the AEGIS 24/7 Privacy Policy (“Privacy Policy”).
1.3 If there is any inconsistency between these Terms, the Privacy Policy, these Terms will prevail, to the extent of the inconsistency only.
2. About the Application
2.1 The App is a location sharing based mobile application that uses smart systems and services to assist you manage your safety and risk at locations. The App is supported by cloud and technology systems (the “Services”) that enable you to use the App. The App allows others to view your location when you need and consists of three modules: Location module (Location management), Help module and a Guidance module. The App and Services allows you to:
- Create and manage a safety plan for a location;
- Signal for help when you need it, sending via SMS message, safety plan information, live location intelligence and cell phone handset data to selected contact(s);
- Conditionally share your live location and destination with select contact(s);
- Share static and live location information with select contact(s);
- Access guidance information that may assist a member preventing or responding to unplanned events.
- All SMS initiated and sent from the App and Services, are included in the subscription term.
2.2 The App is designed to display your location or nominate a location and share it with others on an online map. There are controls in the App and Services which allow users to set limits on when and how long they can broadcast their location for. Use of the App and Services may involve special risks associated with other contact(s) knowing your location. You should only share such information with those that you trust and when help is activated, in a position to assist you. You should not endanger yourself or others by viewing a cell phone while driving, operating dangerous mechanical devices, or in other situations in which you should be observing your surroundings.
3. The App
3.1. Access and updates. The App and Services inclusive of cloud services, technology, data, information, programs, material and other content that AEGIS 24/7 makes accessible to you in the App, are available through the Apple Store or Google Play on cell phone and internet connected devices owned or controlled by you.
AEGIS 24/7 reserves the right to make changes to the App in its sole discretion from time to time, including the functionality, performance, user interface, usability, resolve bug issues which impede functionality or performance, and the service description published on the Apple Store or Google Play store or that AEGIS 24/7 provides to you (Services Description), and you agree that these Terms will apply to any changes or updates to the App and Services. You will be notified of any build updates and it is at your discretion to update the App, however we recommend that you update the App to ensure access to the latest features, functionality and resolve any identified bug issues. AEGIS 24/7 will notify you of any change to the App (other than No-Charge Services) that reduces its functionality or features in any material respect or if it limits or discontinues any feature that is not replaced by a substantially equivalent function or feature. If AEGIS 24/7 has notified you under this section, you may terminate the App upon providing notice to AEGIS 24/7 within 30 days after the date of such notice for annual subscription terms or within 7 days for monthly subscription terms, and AEGIS 24/7 will refund any prepaid, unused Fees in respect of any terminated Subscription Services. Nothing in this section limits AEGIS 24/7’s ability to discontinue any feature or function or to make changes, as required to comply with applicable law, address a material security risk, or avoid a substantial economic or technical burden. AEGIS 24/7 will make the App and Services available to you solely for your use during the subscription period and in accordance with the these Terms of Service.
3.2 Unless permitted by law or as otherwise expressly permitted in these Terms, you must not (nor may you authorize any third party to): Rent, lease, distribute, license, sublicense, sell, transfer, assign, distribute or otherwise provide access to the Subscription Services to a third party; Reproduce, modify, adapt, or create derivative works of, the Subscription Services or remove or tamper with any disclaimers or other legal notices in the Subscription Services; Reverse engineer, disassemble, decompile, transfer, exchange or translate the Subscription Services or otherwise seek to obtain or derive the source code or API; Incorporate the Subscription Services into any service that you provide to a third party; or Use the Subscription Services to provide services, or to create a service that competes with the Subscription Services.
3.3 You must promptly notify AEGIS 24/7 in writing of any breach of the above conditions of use at hello@aegis-247.com.
3.4 You are solely responsible for ensuring that your mobile devices and systems are compatible with the Subscription Services and meet any minimum technical requirements specified on the Apple store or Google Play.
4. Beta testing terms
4.1 About. AEGIS 24/7 conducts beta testing of its Apps, Services and features (‘Pre Release’) prior to general market release. Beta testing is a type of user testing, prior to general market release. Apps, Services and features released for beta testing, will clearly be labelled as beta versions.
4.2 Limitations on beta products and features. Testing is just that, to test in real world conditions, so on occasion the app or feature may not function properly as intended and may contain bugs, stability issues, no or limited access to features. Let us know within the App or at support@aegis-247.com and we will review it.
4.3 Beta liabilities and warranties. The App or features where labelled as beta, are experimental and shall not create any obligation for AEGIS 24/7 to continue to develop, productize, support, repair, offer for sale or in any other way continue to provide or develop either to you or to any other party. THE SOFTWARE IS PROVIDED “AS IS” WITHOUT ANY EXPRESS OR IMPLIED WARRANTY OF ANY KIND INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL AEGIS 24/7 OR ITS SUPPLIERS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF AEGIS 24/7 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
4.4 Beta intellectual property. The App and features which are labelled as beta, including documentation and information, is copyrighted, with the exception of open-sourced materials. The intellectual property and copyright Terms in this agreement also apply to beta testing. If there is any inconsistency between this section and the Terms, the Terms will prevail, to the extent of the inconsistency only.
The scope of this agreement is the licensing (not selling) of the App to You, as the ‘user.’ AEGIS 24/7 reserves all rights not expressly granted.
4.5 Beta tester duties. Beta testers (‘Testers’) agree to report any flaws, errors or imperfections discovered in the App, Service or feature where Testers have been granted access to the beta test. Testers understand that prompt and accurate reporting within the App or to support@aegis-247.com, is the purpose of the beta tests and undertake to use best efforts to provide frequent reports on all aspects, both positive and negative and acknowledges that any improvements, modifications and changes arising from or in connection with the Testers contribution, remain or become the exclusive property of AEGIS 24/7.
4.6 Confidentiality. The Tester will not disclose or discuss the beta App, Services or features or make comment to any third party without the prior written approval of AEGIS 24/7. This includes but is not limited to posting on social media or other channels. The Tester will maintain the confidentiality of App, Services or features with at least the same degree of care that you use to protect your own confidential and proprietary information, but not less than a reasonable degree of care under the circumstances. The Tester will not be liable for the disclosure of any confidential information which is:
- In the public domain other than by a breach of these Terms on Tester’s part;
- Rightfully received from a third party without any obligation of confidentiality;
- Rightfully known to Tester without any limitation on use or disclosure prior to its receipt from AEGIS 24/7;
- Generally made available to third parties by AEGIS 24/7 without restriction on disclosure.
If you accept these Terms, please continue using the beta App, Services or features. If you do not agree with this section of the Terms, do not click the ‘I agree’ to the ‘Terms of Service’ button when creating an account and you must cease usage of the App, or any of its Services, immediately and uninstall the application.
4.7 Assignment. No Assignment. Beta testing and these Terms are personal to the Tester. The Tester shall not assign or otherwise transfer any rights or obligations under these Terms.
4.8 Severability. If any provision of these beta Terms shall be found by a court to be void, invalid or unenforceable, the same shall be reformed to comply with applicable law or stricken if not so conformable, so as not to affect the validity or enforceability of these beta Terms.
4.9 Term and termination. AEGIS 24/7 will post notifications as to the expected duration time period that applies to the beta App, Services or features, however we reserve the right to modify the time period or any of the beta conditions at any time. AEGIS 24/7 reserves the right, to terminate your access to the beta App, Services or features without at any time for any reason or no reason by providing the other party written notice thereof where commercially reasonable. Commercially reasonable efforts will be made to notify users of any changes to the beta time period or conditions of use.
4.10 Support. During your participation in beta testing, AEGIS 24/7 is not obligated to provide you with any maintenance, technical or other support for the Pre-Release (beta) App, Services or features. If at AEGIS 24/7’s option, such support is provided, it will be provided at AEGIS 24/7’s discretion. You acknowledge that AEGIS 24/7 has no express or implied obligation to announce or make available a commercial version of the beta App, Services or features to anyone in the future. Should a commercial version be made available, it may have features or functionality that are different from those found in beta testing.
4.11 Subscription fees. There are no subscription fees for use of the beta App, Services or features under these Terms.
4.12 Crash reporting. Things sometimes go wrong and we need to know about any issues or bugs, so we can resolve them sooner. For beta testing, we have enabled crash reporting in the App, so if something goes wrong, send through the crash report. Tell us at support@aegis-247.com if you want to withdraw your crash reporting participation at any time or enrollment in the beta program. We love feedback. You can join the beta testing program by connecting through our website, sending an email to hello@aegis-247.com or through our social media listed on our website.
4.13 Thank you. To thank you for your participation in the beta program, on general market release you will be gifted a three-month subscription for free. Participation must be active and meaningful to qualify for a free three month subscription term, on general market release. It is at AEGIS 24/7’s discretion what constitutes meaningful, but as a guide this may include but is not limited to, multiple use sessions of the App, submitting crash reports or providing email feedback. After the free initial ‘thank you’ subscription, standard subscription terms apply.
5. Minors
5.1 If you are under the age of 13 years, you may not create an account. If you are 13 or older but under the age of 18, you represent that you have reviewed these application Terms and Conditions with your parent or legal guardian to make sure that you and your parent or legal guardian understand these Terms. If you are a parent or guardian permitting a person under the age of 18 (a Minor) to create an account, you agree to:
- Exercise supervision over the Minor’s use of their AEGIS 24/7 account;
- Assume all risks associated with the Minor’s use of their AEGIS 24/7 account, including the transmission of content or information to and from third parties;
- Assume liabilities resulting from the Minor’s use of their AEGIS 24/7 account;
- Ensure the accuracy and truthfulness of all information submitted by the Minor; and
- Provide the consents contained in these Terms on behalf of the Minor.
6. Account creation
6.1 In order to access the App, you must first access the Apple store or Google Plan, create a subscription, download the app and then register for an account through the App (the ‘Account’).
6.2 As part of the registration process, or as part of your continued use of the App, you may be required to provide personal information about yourself (such as identification or contact details), including:
- Full name
- Mobile phone number
- Email address
- Password
6.3. You warrant that any information you give to AEGIS 24/7 in the course of completing the registration process will be accurate, correct and up to date:
- Full name
- Mobile phone number
- Email address
- Password
6.4. Once you have completed the registration process, you will be a registered member of the App (‘Member’) and agree to be bound by the Terms.
6.5. You may not use the App and may not accept the Terms if:
- You are not of legal age to form a binding contract with AEGIS 24/7; or
- You are a person barred from receiving the Services under the laws of the United States or other countries including the country in which you are a resident or from which you use the Services.
6.7. Your obligations as a Member:
As a member, you agree to comply with the following:
You will use the App only for purposes that are permitted by:
The Terms and
Any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions;
You have the sole responsibility for protecting the confidentiality of your password and/or email address. Use of your password by any other person may result in immediate cancellation of the App and Services;
Any use of your registration information by any other person, or third parties, is strictly prohibited. You agree to immediately notify AEGIS 24/7 of any unauthorized use of your password or email address of any breach of security of which you are aware;
Access and use of the App is limited, non-transferable and allows for the sole use of the application by you;
You will not use the App in connection with any commercial endeavors except those that are specifically endorsed or approved by the management of AEGIS 24/7;
You will not use the service in a manner that violates third party service agreements including SMS providers and cloud-based services, which are used by AEGIS 24/7, to provide the Services to you.
You will not use the help module feature in a manner deliberately or through absent actions, which results in SMS messages being sent out to contacts selected by the member, resulting in annoyance to the receivers and possible contravention of legislation in your jurisdiction. Reasonable commercial attempts will be made to contact you to and alert you to the issue. If the user behavior does not cease, the subscription may be suspended or terminated.
You will not use the SMS features in the App in a manner which is intended to result in financial and/or operational loss or disproportionally large load on AEGIS 24/7 infrastructure. Reasonable commercial attempts will be made to contact you to and alert you to the issue. If the user behavior does not cease, the subscription may be suspended or terminated.
You will not attempt to gain unauthorized access to AEGIS 24/7’s App, Services or computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the App and/or Services.
You will not use the App or Services for any illegal and/or unauthorized use which includes collecting email addresses, personal information according to the Privacy Policy or Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the App;
You agree not to:
Use the App or Services to impersonate a third party or load AEGIS 24/7 on a third party’s mobile device without their permission;
Use the App or Services to “stalk”, harm or otherwise harass anyone as applicable to the definition in your jurisdiction;
Use the Services or collect personal data about others for unlawful purposes.
You agree that commercial advertisements, affiliate links, and other forms of solicitation may be removed from the Application without notice and may result in termination of the Services. Appropriate legal action will be taken by AEGIS 24/7 for any illegal or unauthorized use of the App; and
You acknowledge and agree that any automated use of the App or its Services is prohibited.
7. No charge services
AEGIS 24/7 may offer certain Services to you at no charge, including free accounts, trial use, and access to pre-release and beta products (No-Charge Services). Your use of No-Charge Services is subject to any additional terms that AEGIS 24/7 specifies from time to time and is only permitted for the period designated by AEGIS 24/7, or if no such period is designated, 30 days. AEGIS 24/7 may terminate your right to use No-Charge Services at any time and for any reason at AEGIS 24/7’s sole discretion, without liability to you.
8. Subscription payment
On purchase of a subscription, you will be granted a limited, non-sub licensable license to access and use the App and Services. Subscription includes:
Selecting a subscription time period through the Apple App store or Google Play and make payment by debit or credit card which you are authorized to use.
Selecting one of the subscription billing options, including:
Monthly Plan, in which case you will be billed the applicable Fees monthly in advance; or
Annual Plan, in which case you will be billed the applicable Fees annually in advance
Making payment at the rate and currency as specified for your geo regional location.
All payments made in the course of your use of the App are made using a debit or credit card to which you are authorized to use, and associated to your Apple ID in the Apple App store subscription service or Google Play unique account identifier. In using the App or when making any payment in relation to your use of them, you warrant that you have read, understood and agree to be bound by the terms and conditions which are available on the Apple App store or Google Play.
If you dispute any invoice or charge that AEGIS 24/7 has billed you (acting reasonably and in good faith) you must notify AEGIS 24/7 of the dispute without unreasonable delay. You acknowledge and agree that where a request for the payment of the Services Fee is returned or denied, for whatever reason, by your financial institution or is unpaid by you for any other reason, then you are liable for any costs, including banking fee and charges, associated with the Services Fee.
You are responsible for any duties, customs fees, or taxes (other than AEGIS 24/7 ’s income tax) associated with the supply of the Services or any other goods or services provided by AEGIS 24/7 to you, including any VAT, GST or other applicable sales tax, and any related penalties or interest (Taxes), and you will pay AEGIS 24/7 for the Services without any withholding for Taxes. If AEGIS 24/7 is required to collect or pay Taxes, the Taxes will be invoiced to you. You must provide AEGIS 24/7 with any information AEGIS 24/7 reasonably requests to determine whether AEGIS 24/7 is obliged to collect Taxes from you, including your relevant Tax identification number.
You agree and acknowledge that AEGIS 24/7 can vary the subscription fees at any time, applicable to new subscription billing plans, monthly or annually. You agree that your mobile cell phone provider may charge you to access the App and Services. Liaise with you cell phone provider to learn more about such charges.
9. Renewal of subscription
The subscription term commences on the Commencement Date and expires on the Expiry Date. A subscription term will automatically renew for a period equal to the initial subscription term, at the current rate, unless either party elects not to renew the subscription term.
10. Cancelling a subscription
For Apple store and Google Play customers, if you signed up for a free or discounted trial monthly or annual subscription and you do not want to renew it at the free or discounted payment rate, or continue on with the standard subscription plan rate, you must cancel it at least 24 hours before the trial ends or the end of the subscription term. When you cancel a subscription part way through a subscription term, monthly or annually, you will still be able to use your subscription for the time period you have already paid.
11. Suspension of subscription
AEGIS 24/7 may suspend the App and Services (including any of your Accounts) immediately, or terminate your subscription in whole or part, if:
- You are in material breach of these Terms more than two times during the subscription term notwithstanding any cure of such breaches;
- You have failed to pay any subscription Fees within sixty (60) days after the relevant due date;
- You infringe AEGIS 24/7’s Intellectual Property Rights; or
- Your use of the Services breaches any applicable law or any of the AEGIS 24/7’s Policies.
AEGIS 24/7 will notify you of any suspension (where practicable). If AEGIS 24/7 suspends your use of the App pursuant to its rights under this Agreement: AEGIS 24/7 will continue to charge you Fees during the suspension period and you must pay any outstanding Fees prior to AEGIS 24/7 resuming the provision of the App; and AEGIS 24/7 will only resume provision once you have cured (to AEGIS 24/7’s reasonable satisfaction) the matter that caused the suspension.
12. Termination of subscription
The Terms will continue to apply until terminated by either you or by AEGIS 24/7 as set out below.
AEGIS 24/7 may at any time, terminate the Terms with you if:
You have breached any provision of the Terms or intend to breach any provision;
AEGIS 24/7 is required to do so by law;
The provision of the Services to you by AEGIS 24/7 is, in the opinion of AEGIS 24/7, no longer commercially viable.
Subject to local applicable laws, AEGIS 24/7 reserves the right to discontinue or cancel your membership at any time and may suspend or deny, in its sole discretion, your access to all or any portion of the App or Services without notice if you breach any provision of the Terms or any applicable law or if your conduct impacts AEGIS 24/7’s name or reputation or violates the rights of those of another party.
Notwithstanding any of these Terms, AEGIS 24/7 reserves the right, without notice and in its sole discretion, to terminate your license to use the App and Services, and to block or prevent your access to and use of the App and Services.
13. Refund of subscription
In the first instance please contact the Apple store or Google Play. AEGIS 24/7 will only provide you with a refund of the subscription fee in the event they are unable to continue to provide the Services or if AEGIS 24/7 makes a decision, at its absolute discretion, that it is reasonable to do so under the circumstances (the ‘Refund’) or as directed by the Apple store or Google Play.
14. Copyright and Intellectual Property
AEGIS 24/7, the App and Services, the logo and any other product or service name or slogan contained on the App or Services are trademarks of AEGIS 24/7, and may not be copied, imitated or used, in whole or in part, without the prior written permission of AEGIS 24/7. The material on the App is protected by copyright under the laws of the United States and through international treaties. You may not use any metatags or any other “hidden text” utilizing “AEGIS 24/7” or any other name, trademark or product or service name of AEGIS 24/7 without our prior written permission. In addition, the look and feel of the App and graphical user interface of the App, including, but not limited to, all page style, custom graphics, videos, code, button icons and scripts, is the service mark, trademark and/or trade dress of Aegis 24/7 and may not be copied, imitated or used, in whole or in part, without our prior written permission.
All trademarks, service marks and trade names are owned, registered and/or licensed by AEGIS 24/7, who grants to you a worldwide, non-exclusive, royalty-free, revocable license whilst you are a member to:
Use the App pursuant to the Terms;
Copy and store the application and material contained in the App in your device’s cache memory; and
Print pages from the App for your own personal and non-commercial use.
AEGIS 24/7 does not grant you any other rights whatsoever in relation to the App. All other rights are expressly reserved by AEGIS 24/7.
AEGIS 24/7 retains all rights, title and interest in and to the Application and all related Services. Nothing you do on or in relation to the App will transfer any:
Business name, trading name, domain name, trademark, industrial design patent, registered design or copyright, or;
A right to use or exploit a business name, trading name, domain name, trademark or industrial design, or;
A thing, system or process that is the subject of a patent, registered design or copyright (or an adaption or modification of such a thing, system or process), to you.
You acknowledge and agree that any materials, including but not limited to questions, comments, reviews, suggestions, ideas, feedback, plans, notes, original or creative materials or other information, provided by you in the form of email or other submissions are non-confidential and shall become the sole property of AEGIS 24/7. You agree AEGIS 24/7 shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these materials for any purpose, commercial or otherwise, without acknowledgment or compensation to you.
You may not, without written permission of AEGIS 24/7 and the permission of any other relevant rights owners, broadcast, republish, upload to a third party, transmit, post, distribute, show or play in public, adapt or change in any way the App or Services for any purpose, unless otherwise provided by these Terms. This prohibition does not extend to those materials on the App, which are freely available for re-use or are in the public domain.
Repeat Infringer Policy. In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, AEGIS 24/7 has adopted a policy of terminating, in appropriate circumstances and at AEGIS 24/7’s sole discretion, users who are deemed to be repeat infringers. AEGIS 24/7 may also at its sole discretion limit or terminate access to the App or Services of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.
Copyright Complaints. If you believe that any material on the App or the Services infringes upon any copyright which you own or control, you may file a notification of such infringement in writing to 254 Chapman Rd, Ste 208 #9494, Newark, Delaware 19702, United States. We may give notice of a claim of copyright infringement to our users by means of a general notice on the App, electronic mail to a user’s email address in our records.
The app uses third party data products (Third Party Products) for some features. Your data personal data is not exchanged with these Third Party products. AEGIS 24/7 DISCLAIMS ALL LIABILITY FOR ANY THIRD PARTY PRODUCTS AND FOR THE ACTS OR OMISSIONS OF ANY THIRD PARTY PROVIDERS OF THIRD PARTY PRODUCTS. THERE IS NO WARRANTY OF MERCHANTABILITY, NO WARRANTY OF FITNESS FOR A PARTICULAR USE, AND NO WARRANTY OF NON-INFRINGEMENT. THERE IS NO WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THIRD PARTY CONTENT. AEGIS 24/7 may provide you with access to connector/s to facilitate the interoperation of our Services with Third Party Products used by you. Your use of such connector/s will be subject to any additional terms that AEGIS 24/7 specifies from time to time. Provided that you promptly notify AEGIS 24/7 in writing of any error in respect of the functioning of connector/s, AEGIS 24/7 will use commercially reasonable endeavours to resolve the error with such connector/s within a reasonable period. You understand and agree that AEGIS 24/7 is not liable or responsible for the functionality, reliability, availability, quality or performance of Third Party Products or the interoperability of such Third Party Products with the Services (a connection with a Third Party Product may become unavailable or no longer function properly as a result of changes made by the third party provider). Any support and maintenance for a Third Party Product will be provided by the relevant third party provider (and not by AEGIS 24/7). To avoid doubt, AEGIS 24/7 is not responsible for any connector/s built by any party other than AEGIS 24/7 or its subcontractors. Third Party Products are the property of its respective provider or its licensor and is protected by applicable copyright law. Members agree not to reproduce, retransmit, disseminate, sell, distribute, publish, broadcast, circulate or commercially exploit the content in any manner without the express written consent of the provider.
16. Privacy Policy
AEGIS 24/7 takes your privacy seriously and any information provided through your use of the App and Services are subject to AEGIS 24/7’s Privacy Policy, which is available at www.aegis-247.com/privacy. By using the App you agree to be bound by our Privacy Policy.
17. General Disclaimer
Nothing in the Terms limits or excludes any guarantees, warranties, representations or conditions implied or imposed by law.
If you reside in the United States and are a ‘consumer’ for the purposes of United States Consumer Law, our app and services come with guarantees that cannot be excluded under the United States Consumer Law.
For major failures with the service, you are entitled:
1. To cancel your subscription with us; and
2. To a refund for the unused portion, or to compensation for its reduced value.
3. You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion.
4. If the App and Services fail to meet any Consumer Guarantee in your jurisdiction, and the total amount paid by you for the Services under this Agreement is less than the statutory minimum, AEGIS 24/7’s liability to you for failure to meet such Consumer Guarantee is limited, to the extent permitted by law, to (at AEGIS 24/7’s election) supplying the Services again or paying for the cost of having the Services supplied again.
5. To the extent permitted by law:
All terms, guarantees, warranties, representations or conditions which are not expressly stated in the Terms are excluded; and
AEGIS 24/7 will not be liable for any special, indirect or consequential loss or damage (unless such loss or damage is reasonably foreseeable resulting from our failure to meet an applicable Consumer Guarantee in your jurisdiction), loss of profit or opportunity, or damage to goodwill arising out of or in connection with the Services of these Terms (including as a result of not being able to use the Services or the late supply of the Services), whether at common law, under contract, tort (including negligence), in equity, pursuant to statute or otherwise.
6. Use of the App and the Services is at your own risk. Everything on the App and Services is provided to you “as is” and “as available” without warranty or condition of any kind other than guarantees that cannot be excluded under United States Consumer Law. None of the affiliates, directors, officers, employees, agents, contributors and licensors of AEGIS 24/7 make any express or implied representation or warranty about the App or Services. This includes (but is not restricted to) loss or damage you might suffer as a result of any of the following:
Failure of performance, error, omission, interruption, deletion, defect, failure to correct defects, delay in operation or transmission, computer virus or other harmful component, loss of data, communication line failure, unlawful third party conduct, or theft, destruction, alteration or unauthorized access to records;
The accuracy, suitability or currency of any information on the App, the Services, or any of its related products (including third party material and advertisements on the App);
Costs incurred as a result of you using the App, the Services or any of the products of AEGIS 24/7; and
The Services or operation in respect to advertisement links which are provided for your convenience.
18. Competitors
If you are in the business of providing a similar App and Services for the purposes of providing them to users for a commercial gain, whether business users or domestic users, then you are a competitor of AEGIS 24/7. Competitors are not permitted to use or access any information or content on our App or Services. If you breach this provision, AEGIS 24/7 will hold you fully responsible for any loss that we may sustain and hold you accountable for all profits that you might make from such a breach.
19. Limitation of liability
AEGIS 24/7’s total liability arising out of or in connection with the App, Services or these Terms, however arising, including under contract, tort (including negligence), in equity, under statute or otherwise, will not exceed the resupply of the Services to you. You expressly understand and agree that AEGIS 24/7, its affiliates, employers, agents, contributors and licensors shall not be liable to you for any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under theory of liability. This shall include, but is not limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation and any other intangible loss.
20. Indemnity
You agree to indemnify AEGIS 24/7, its affiliates, employees, agents, contributors, third party content providers and licensors from and against:
All actions, suits, claims, demands, liabilities, costs, expenses, loss and damage (including legal fees on a full indemnity basis) incurred, suffered or arising out of or in connection with your use of the App and Services;
Any direct or indirect consequences of you accessing, using or transacting on the Application or attempts to do so; and/or
Any breach of the Terms.
21. Applicable Law and Venue
These Terms and your use of the App and Services shall be governed by and construed in accordance with the laws of the United States of America and the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware (even if your use is outside of the State of Delaware), without resort to its conflict of law provisions. You agree that with respect to any disputes or claims not subject to arbitration (as set forth below), any action at law or in equity arising out of or relating to the App or Services or these Terms shall be filed only in the state and federal courts located in New Castle County, Delaware and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts. The requirements in this paragraph shall not apply where and to the extent they are prohibited by the local law in the country where you live.
22. Arbitration
You and AEGIS 24/7 agree that except as otherwise specifically provided in this paragraph, any controversy or claim arising out of or relating in any way to these Terms, or the breach thereof, or to the App and/or the Services shall be settled exclusively by arbitration administered by the American Arbitration Association (the “AAA”) in accordance with its Commercial Arbitration Rules and, in the case of consumer disputes, with the AAA’s Supplementary Procedures for Consumer Related Disputes (collectively, the “AAA Rules”), and that judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Notwithstanding the foregoing, to the extent that either of us has in any manner infringed upon or violated or threatened to infringe upon or violate the other party’s patent, copyright, trademark or trade secret rights, then the parties acknowledge that arbitration is not an adequate remedy at law and that without waiving any remedy under these Terms, injunctive or other appropriate relief may be sought from any court specified in the paragraph Applicable Law and Venue. The place of arbitration and the allocation of costs and fees for such arbitration shall be determined in accordance with such AAA Rules. To the fullest extent permitted by applicable law, no arbitration or claim shall be joined to any other arbitration or claim, and no class arbitration proceedings shall be permitted. In no event shall any claim, action or proceeding by you related in any way to the App or Services be instituted more than two (2) years after the cause of action arose. In the event that any term of this section (Arbitration) is held to be in conflict with a mandatory provision of applicable law, such conflicting term shall be modified automatically to comply with such provision and the remainder of this section shall not be affected. The Parties are equally liable for the fees and reasonable expenses of a mediator and the cost of the venue of the mediation and without limiting the foregoing undertake to pay any amounts requested by the mediator as a precondition to the mediation commencing. The Parties must each pay their own costs associated with the mediation
23. Independent Legal Advice
Both parties confirm and declare that the provisions of the Terms are fair and reasonable and both parties have taken the opportunity to obtain independent legal advice and declare the Terms are not against public policy on the grounds of inequality or bargaining power or general grounds of restraint of trade.
24. Severance
If any of these Terms is found to be void or unenforceable by a Court of competent jurisdiction, that part shall be severed and the rest of the Terms shall remain in force.
